{"id":3293,"date":"2024-09-16T09:00:42","date_gmt":"2024-09-16T05:00:42","guid":{"rendered":"https:\/\/eoninvestment.com\/?p=3293"},"modified":"2024-09-16T09:00:42","modified_gmt":"2024-09-16T05:00:42","slug":"architypes-for-value-creating-acquisition","status":"publish","type":"post","link":"https:\/\/eoninvestment.com\/ka\/2024\/09\/16\/architypes-for-value-creating-acquisition\/","title":{"rendered":"Architypes for Value-Creating Acquisition"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">According to McKinsey&#8217;s research (1999-2013, 1770 transactions), the combined value of the acquiring and acquired organizations increased by an average of 5.8% as a result of acquisitions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In 95% of acquisitions, the value of the acquired organizations represents less than 5% of the acquirer&#8217;s capitalization.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Generally, synergy achieved through mergers and acquisitions is difficult to obtain. However, experienced practitioners identify several types of value creation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Improving the efficiency of the target organization;<\/li>\n\n\n\n<li>Consolidating to remove excess capacity from the industry;<\/li>\n\n\n\n<li>Ensuring market access;<\/li>\n\n\n\n<li>Acquiring new skills and technologies to save time;<\/li>\n\n\n\n<li>Utilizing industry-specific &#8220;scaling&#8221; opportunities;<\/li>\n\n\n\n<li>Early identification and development of successful entities.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">In addition to these, there are several others that are rare in practice because they are difficult to execute:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Consolidating a highly fragmented market (Rolling Up) where players are so small they can&#8217;t achieve economies of scale;<\/li>\n\n\n\n<li>Consolidation to improve competitive behavior, which is almost always prohibited by law;<\/li>\n\n\n\n<li>Complete transformational merger, where organizations shed &#8220;excess&#8221; parts and combine &#8220;remainders&#8221; to create something entirely new;<\/li>\n\n\n\n<li>Buying cheap, which mainly applies to cyclical businesses. If you manage to buy during a stagnation phase and sell during a recovery phase, shareholder returns can double. (However, statistically, most acquisitions happen during the recovery phase).<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Finally, it is important to note that the planned synergies in mergers and acquisitions are more often achieved in cost savings than in revenue increases. Out of 96 cases analyzed by McKinsey, 86 companies managed to achieve more than 70% of their planned cost savings, while 50% of organizations failed to achieve more than 70% of their revenue improvement plans. 25% couldn&#8217;t achieve even 30% of their revenue improvement goals.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The table shows directions for cost savings:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Source:<br \/>*Valuation, Measuring and Managing the Value of Companies &#8211; by McK.&amp;Co, T.
